These Terms of Service (“Terms”) are a contract between you and Kneade MB, company code 307635076, registered at V. Nagevičiaus g. 3, LT-08237 Vilnius, Lithuania (“Kneade,” “we,” “us”). By creating an account, purchasing a lesson, or otherwise using kneade.com or our AI tutoring service (the “Service”), you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
The Service is purchased and administered by an adult parent or guardian (the “Account Holder”), who must be at least 18 years old and legally capable of entering this contract. The Account Holder is the sole party who registers with an email address, agrees to these Terms, and pays for the Service.
A child (“Student”) accesses lessons only through a separate, username-based login created by the Account Holder within their account. Student logins have no independent email, payment method, or ability to agree to anything. The Account Holder’s acceptance of these Terms covers, and is required for, all use of the Service by that Student. The Account Holder is responsible for keeping both sets of credentials confidential and for all activity under the account.
Kneade provides live, voice-based tutoring sessions delivered by an AI tutor over a shared digital whiteboard, plus related homework, progress tracking, and diagnostic features. The Service is a supplemental educational tool. It is not a substitute for a certified teacher, school curriculum, or a professional evaluation of a learning difficulty or disability, and we make no guarantee of specific academic outcomes. Features, pricing, and availability may change at any time.
Prices are shown at checkout and charged via our payment processor, Stripe. A trial lesson is a one-time charge with no subscription and no auto-renewal unless a subscription plan is clearly disclosed and agreed to separately at checkout. If you are not satisfied with your purchase, contact us within 30 days of the charge for a full refund.
To provide and improve the Service, the Account Holder grants Kneade a worldwide, royalty-free license to record, store, reproduce, and use lesson content, including the lesson transcript, whiteboard work, uploaded homework images, and, where we choose to enable it, lesson audio, for purposes including operating the Service, quality assurance, safety review, and research and development such as improving our AI models. This license also lets us license, share, or sell aggregated, de-identified, or anonymized data derived from lesson content, including from audio, to research or commercial partners. We will not publish anything that identifies a specific Student, whether by name, voice, or likeness, publicly or in marketing without the Account Holder’s separate, explicit opt-in.
You agree to use the Service lawfully and not to: interfere with or disrupt the Service or its security; attempt to extract, scrape, or reverse-engineer our software or AI models; upload unlawful, abusive, or harmful content to the whiteboard; misrepresent your identity or age; or use an Account Holder login on behalf of a child without appropriate parental authority.
Kneade owns all right, title, and interest in the Service, including our software, AI models, branding, and course materials. You retain ownership of any homework images or original work you upload, and grant us the license described in Section 5 to use it in providing the Service.
Lessons are generated and delivered by an artificial intelligence system. Like any AI system, it can make mistakes or produce inaccurate explanations. The Service does not provide medical, psychological, or diagnostic advice, including in relation to learning disabilities, and should not be relied on as such. Parents should independently verify anything that informs an important academic or medical decision.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE NOT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNEADE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from our gross negligence or willful misconduct, or any statutory rights you have as a consumer under the mandatory law of your country of residence.
You agree to indemnify and hold Kneade harmless from claims, losses, or expenses arising from your breach of these Terms or misuse of the Service, except to the extent caused by our own negligence or breach.
You may stop using the Service and close your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the safety of Students on the platform.
These Terms are governed by the laws of Lithuania and the European Union, without regard to conflict-of-law rules. This does not deprive you of any mandatory consumer-protection rights you have under the law of your own country of residence, which continue to apply where applicable. Before filing a claim, please contact us at legal@kneade.com so we can try to resolve the issue directly. Any dispute that cannot be resolved this way may be brought before the competent courts as permitted under applicable law.
We may update these Terms from time to time. We will notify the Account Holder of material changes before they take effect. Continued use of the Service after that constitutes acceptance of the revised Terms.
